Terms of Service

These Terms govern your access to and use of the global Nemeow website, workspace, conversational development, knowledge, content extraction, business data and publishing services (together, the "Service") operated by FILPET GLOBAL LIMITED.

By creating an account, accessing or using the Service, you agree to these Terms and the Privacy Policy. If you do not agree, do not use the Service.

You must be legally able to enter this agreement. If local law requires parental or guardian consent, you may use the Service only with that consent. If you use Nemeow for an organization, you represent that you have authority to accept these Terms on its behalf.

• Provide accurate account information and do not impersonate another person.
• Keep your password, devices and sessions secure, and promptly report suspected unauthorized access.
• You are responsible for activity performed through your account unless applicable law provides otherwise.
• Do not share an account in a way that defeats access controls or account limits.
• We may apply verification, rate limits or temporary restrictions to protect users and the Service.

Nemeow may provide conversational development, project storage and versioning, knowledge spaces, content extraction, business data tables and views, AI-assisted generation, previews and public publishing. Features and availability can differ by plan and release stage.

We may improve, replace, limit or discontinue features for technical, safety, legal or operational reasons. When reasonably practicable, we will give advance notice if a change materially reduces an active paid service.

You retain any rights you hold in your prompts, uploads and original projects. You grant FILPET GLOBAL LIMITED and its service providers a worldwide, non-exclusive, limited licence to host, process, reproduce, transmit and display that content only as needed to operate, secure and provide the features you use.

You must have the rights, legal basis, notices and permissions needed to submit content, including customer or other third-party personal information in business-data and workspace features. If applicable law requires a data-processing agreement or international-transfer measure for your use, you must put it in place with us before submitting that information. You remain responsible for your content and for keeping your own copies of material that is important to you.

AI output may be inaccurate, incomplete, biased, non-unique or unsuitable for your intended use. Review output before relying on, publishing or commercializing it, and use qualified professional judgment for high-impact decisions.

As between you and Nemeow, and to the extent permitted by law, you may use output generated for you. Similar or identical output may be generated for other users, and we do not represent that output is eligible for intellectual-property protection. Do not remove a platform-provided AI disclosure or provenance marker where law or the applicable feature requires it, and provide any additional disclosure required for your use. Nemeow does not provide medical, legal, financial or other regulated professional advice.

You may not use the Service to:

• violate law, sanctions or third-party rights;
• create, obtain or distribute malware, credentials, exploit instructions intended for abuse, or content that facilitates serious harm;
• harass, defraud, impersonate, deceive or unlawfully discriminate against others;
• collect or expose personal information without a lawful basis and appropriate notice;
• interfere with the Service, bypass access controls or limits, probe systems without authorization, or conceal malicious automation;
• misrepresent AI output or Nemeow's involvement in a way that unlawfully harms others; or
• use the Service or output to build or train a competing model or service where doing so requires unauthorized access, copying or extraction.

Publishing creates a publicly accessible project address. You are responsible for published content and should remove secrets, personal data and confidential information first.

Free includes one three-day public-publishing trial. Standard and Professional public access lasts only while the paid entitlement is active. When a trial or paid entitlement ends, public links pause while workspace projects remain available; the same links return automatically when paid access becomes active again.

We may investigate, restrict or remove content, integrations or accounts when reasonably necessary to enforce these Terms, respond to valid legal requests, protect the Service or prevent harm. Where appropriate, you may contact support to request a review.

Some features depend on third-party AI, speech, hosting, storage, payment, content or integration services. Additional terms may apply when you choose to connect or directly use them. We do not control and are not responsible for third-party websites or services outside our contractual responsibility.

Credits are internal service units used to measure and access Nemeow AI resources. They are not money, stored value or a payment instrument, have no cash value, and cannot be withdrawn, transferred or traded outside the Service.

An eligible new account may receive 1,000 reward credits for its first verified Global-approved identity channel and another 1,000 for a second different channel completed during the first 30 days. Each grant expires 30 days after it is issued and each identity or account may claim only once. A second eligible Global channel is not currently available. Purchased credits, when purchasing is available in a market, do not expire; credits with the earliest expiry are used first.

Knowledge-space answers, the Create, Plan and Chat modes in conversational development, and AI support are settled from actual token usage recorded by the Service:

• Nemeow Lite: 9 credits per 10,000 input tokens and 27 credits per 10,000 output tokens.
• Nemeow Pro: 27 credits per 10,000 input tokens and 81 credits per 10,000 output tokens.

Input and output tokens for one logical request are calculated at their respective rates, aggregated and rounded up once. A model-provider cache hit remains settled at the full input-token rate. Content extraction has no fixed per-use credit charge; credits are settled from actual Lite input and output token usage only when AI text cleanup is performed. No AI cleanup credits are charged when AI is not called, an existing extraction cache is reused, or published copy is used directly. Speech recognition itself currently consumes no credits.

When a conversational-development request explicitly needs real dish, product, person or scene imagery and no usable image was uploaded, the Service may use Pro image generation. One Build creates at most three 1024×1024 images. The image provider reports successful output-image units rather than text tokens, so each conforming successful image costs 23 credits; a failed or non-conforming image is not charged. Image generation requires Pro access and sufficient credits.

Before billable work starts, the Service checks the available balance and temporarily sets aside the estimated amount. Insufficient balance rejects the request before cost is incurred. Successful work is settled under the applicable actual-cost rule and unused credits return to the available balance. Platform failures release unsettled credits and any reserved daily count; however, a conforming successful image already returned within a partially failed image batch is actual usage under the image rule above and is settled by the successful count. A user cancellation after actual cost begins is settled only for cost already incurred. Idempotency controls prevent a single logical request from being charged twice.

Standard and Professional use the same one-time, non-renewing 30-day entitlement semantics as the CN product. Renewal opens during the final seven days of the current period; each confirmed renewal starts after the queued end date and adds 30 days without shortening or replacing access already paid for, and a different tier begins only at its scheduled boundary. Global purchasing is currently unavailable because no approved payment provider or Global price configuration exists; the Service will not represent a payment as successful without that capability. If Global purchasing is enabled later, the product, currency, price, included permanent credits, duration, expiry effects and applicable refund information will be shown before payment.

You can review credit batches, balances, ledger entries and payment availability in the account center. Every grant, hold, settlement, release, payment, refund or correction has a unique event ID and uses idempotency controls. Refund eligibility follows applicable law, the information shown at purchase and support verification; a confirmed refund adjusts the corresponding order and unused resources.

The Nemeow software, brand, interface and service materials are owned by FILPET GLOBAL LIMITED or its licensors. Except as permitted by law or written authorization, you may not copy, sell, lease, sublicense, reverse engineer or exploit those materials.

If you provide suggestions or feedback, you grant us a perpetual, worldwide, royalty-free right to use it without an obligation to compensate you, provided that this does not transfer ownership of your workspace content.

You may stop using the Service at any time and may request account deletion through the available account or support process. We may restrict or terminate access when reasonably necessary to address a material breach, security risk, legal requirement, non-payment or harm to the Service or others.

Where appropriate, we will provide notice and an opportunity to cure. Provisions that by their nature should survive termination remain effective. Data handling after termination follows the Privacy Policy and applicable law.

We work to keep the Service reliable, but internet services, AI systems and third-party infrastructure may fail, change or produce unexpected results. To the maximum extent permitted by law, the Service is provided on an "as available" basis without warranties of uninterrupted availability, absolute accuracy, uniqueness or fitness for a particular purpose. Rights and warranties that cannot legally be excluded remain unaffected.

Each party is responsible for loss it causes through its breach of these Terms, negligence or unlawful conduct. To the maximum extent permitted by law, neither party is liable for indirect, incidental, special or consequential loss, lost profits, lost business or lost data that could reasonably have been avoided by maintaining appropriate backups.

Nothing in these Terms limits liability that cannot legally be limited, including liability for fraud or fraudulent misrepresentation, or limits mandatory consumer remedies. You are responsible for reasonable third-party claims arising from content or activity that violates these Terms or another person's rights, except to the extent the claim was caused by Nemeow.

We may update these Terms as the Service or law changes. The current version will be published here, and we will provide additional notice before material changes take effect when required.

These Terms are governed by the laws of Hong Kong, without limiting mandatory rights you may have under the law where you live. Please contact us first so we can try to resolve a dispute informally. Disputes that cannot be resolved will be subject to the courts with jurisdiction in Hong Kong, unless applicable law requires another forum.
